Terms of Service
Last updated: 2026-10-15
These Terms of Service (the "Terms") govern the use of BENJO Sign (the "Service"), operated by BENJO Sign ("we", "us"). By creating an account or using the Service you ("Customer", "you") agree to these Terms on behalf of yourself and the business you represent. A Hebrew version is available at /terms; both versions have the same content. Our Privacy Policy forms part of these Terms.
1. The Service
BENJO Sign is an electronic signature service for businesses. It lets you upload documents (PDF or DOCX) or pick them from your Google Drive, place fields and {placeholders}, send documents to signers by email or link, receive signers' comments, change requests and declines and send revised versions, and receive a signed PDF with an audit trail and a digital signature. It also offers a REST API and webhooks. Features may change over time.
2. Accounts
- You must be at least 18 years old and authorized to bind the business on whose behalf you open the account.
- You must provide accurate details and keep them up to date.
- You are responsible for keeping your sign-in details, API keys and webhook secrets confidential, and for all activity under your account and by the team members you invite. Notify us promptly at office@ehud-golan.com of any unauthorized use.
3. Your responsibilities
- Lawful use. You will use the Service only in compliance with applicable law, including privacy, consumer-protection, anti-spam and electronic-signature laws.
- Signers' consent and notice. You are responsible for having a lawful basis to send each document and to process each signer's personal data, for informing signers as required by law, and for obtaining any consent required to sign electronically.
- Legal validity is your responsibility. Whether an electronic signature is valid, enforceable or admissible for a particular document, transaction or jurisdiction depends on the applicable law and on how you use the Service. In Israel, electronic signatures are governed by the Electronic Signature Law, 5761-2001; some documents may require a particular type of signature, a witness, a notary or a handwritten signature, and other jurisdictions have their own rules. You are solely responsible for determining whether the Service is appropriate for your documents. We do not provide legal advice, and nothing in the Service or these Terms is legal advice; consult a lawyer where needed.
- Identity of signers. The Service offers tools such as email or phone verification codes and an audit trail, but you decide which verification to require and you are responsible for confirming signers' identity to the level your use requires.
4. Your content
- You and your signers retain all rights in the documents, data and files submitted to the Service ("Customer Content"). We do not claim ownership of Customer Content.
- You grant us a limited, non-exclusive licence to host, copy, process, transmit and display Customer Content only as needed to provide the Service to you, to keep it secure, and to comply with law.
- You confirm that you have all rights and permissions needed to upload Customer Content and to send it to your signers.
- We process personal data in Customer Content on your behalf and according to your instructions, as described in the Privacy Policy.
5. Retention and your copies
The files of signed documents (the signed PDF and its audit certificate) are kept on our servers for 90 days after completion (or a shorter period you choose) and are then deleted automatically — after two email notices if they are not saved in your Google Drive; a record of the document and its audit log of events remains. If you connect Google Drive, a copy is saved to a folder in your Drive. You are responsible for downloading or otherwise keeping your own copies (download, Google Drive, or the API) for as long as you need them, including for any legal or record-keeping obligation. After deletion we cannot restore documents.
6. Google integration
If you connect a Google account, the Service uses Gmail only to send your organization's emails from your address (signing invitations, reminders, verification codes, signed copies and notices to your team), and Google Drive only to save signed documents to a folder it creates and to open files you pick. Your use of Google services is also subject to Google's terms. You can disconnect at any time in the dashboard settings or at myaccount.google.com/permissions. Details are in the Privacy Policy.
7. API and webhooks
- API access is subject to the API documentation, the scopes of your API keys and the rate limits we apply. Keep API keys secret and rotate them if they may have been exposed.
- Webhooks and callbacks are delivered to the URLs you configure. You are responsible for those endpoints, for verifying webhook signatures and for securing any data you receive. Deliveries are retried for a limited time and may be paused after repeated failures.
- You may not use the API to overload, probe or circumvent the security or limits of the Service.
8. Acceptable use
You will not, and will not allow others to:
- send unsolicited bulk messages (spam), phishing or deceptive documents, or impersonate any person or business;
- upload unlawful, infringing, defamatory or harmful content, or malware;
- use the Service to commit fraud, forge signatures or obtain a signature without the signer's knowledge;
- attempt to gain unauthorized access to the Service, other accounts or our systems, or interfere with their operation;
- reverse engineer the Service except as permitted by law, or resell it without our written consent.
We may remove content or suspend access that violates this section.
9. Availability (beta)
The Service is currently offered as a beta. It is provided without a service-level agreement (SLA). We aim to keep it available and secure, but it may be interrupted for maintenance, updates or reasons beyond our control, and features may change or be discontinued. We will try to give reasonable notice of material changes.
10. Fees
[FEES AND BILLING TERMS — e.g. "The Service is free during the beta. Paid plans, if introduced, will be announced in advance and will apply only once you choose a plan."] Prices, if any, are exclusive of VAT unless stated otherwise.
11. Our intellectual property
The Service, its software, design and documentation are owned by us or our licensors and are protected by law. Except for the right to use the Service under these Terms, no rights are granted to you. Third-party open-source components are licensed under their own licences.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted or error-free, or that a signature will be legally valid in any particular case.
13. Limitation of liability
To the maximum extent permitted by law: (a) we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity; and (b) our total liability arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or [LIABILITY CAP AMOUNT]. Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnity
You will indemnify us against third-party claims arising from your Customer Content, your use of the Service in breach of these Terms or the law, or your failure to obtain any required consent from signers.
15. Suspension and termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or others; where reasonable we will notify you in advance.
- On termination your right to use the Service ends. Download your documents before closing your account; data is then deleted as described in the Privacy Policy. Sections that by their nature should survive (including 4, 12, 13, 14, 17 and 18) survive termination.
16. Changes
We may update these Terms. The "Last updated" date shows the latest version. For material changes we will notify you by email or in the dashboard at least 14 days before they take effect, unless the change is required by law. Continuing to use the Service after the effective date means you accept the updated Terms.
17. Governing law and jurisdiction
These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of [JURISDICTION — Tel Aviv-Jaffa, Israel] will have exclusive jurisdiction over any dispute arising from these Terms or the Service, except where mandatory law grants a consumer the right to sue in their own courts.
18. General
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If a provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. In case of any conflict between the Hebrew and English versions, [PREVAILING LANGUAGE — the Hebrew version] prevails.
